To ensure that the Banks corporategovernance processes and internal policies are sound and embedded within the organization. To ensurethat the Bank conducts its business in an ethical manner and to promote an ethical culture withinthe Bank thereby assisting to manage risk, maintain a positive reputation.Tocreate awareness and educate employees and management at all levels as well as instituting practicesthat will ensure the highest possible level of compliance. Participating in and supporting the Boardand Board sub-committees in effective management of compliance risks.

Key PerformanceAreas Governance and Compliance Oversight:
Strategic Alignment:
ComplianceFramework and Compliance Programme
Develops and oversee the implementation of aconsistent integrated compliance framework and compliance Programme for the identification,prioritization, management, monitoring and reporting of compliance risks and issues.
Develop a comprehensive compliance risk management Programme that is integrated with theorganization’s strategic planning process.
Assist management in becomingaware of their responsibilities relating to compliance with regulatory requirements.
Examines and keeps abreast of all changes in legislation and regulations and advise allstakeholders of the potential impact that such changes would have on the Banks operations.
Independently monitoring and reporting to top management on the effectiveness of thecompliance function.
Supplies advice to management and the Board as required inadherence to compliance functions imposed by legislation and governance principles.
Governance and Compliance Oversight: Regulatory reporting and Regulator and Stakeholderinteraction
Build and maintain effective regulator and stakeholderrelationships.
Develop and maintain professional working relationships withregulators and other stakeholders through formal and informal interactions.
Develop a plan to manage an organization’s relationship with all regulators / supervisorsthat have jurisdiction.
Coordinate communication channels and liaison withregulators and supervisors.
Participate and oversee where necessary in regulatoryinspections.
Represent the Unit on governance compliance related matters andvarious forums.
Participate in industry body to ensure alignment of compliancemethodology and influence national trends in compliance risk management.
Governance and Compliance- Assurance and Monitoring Oversight (second line of Defence)
Develop the compliance risk identification matrix of the Bank to understand the business ofthe bank and all applicable legislation (compliance process phase1).
Develop thecompliance risk periodization index for the Bank to categorize and prioritize and classify theapplicable legislation to the Bank (compliance process phase 2).
Develop controloptimization and risk management plans for applicable legislation for the Bank (compliance processphase 3).
Develop compliance risk monitoring plans and reporting tools for thebank for all applicable legislation and reporting (compliance process phase 4).
Governance and ComplianceOversight:
Ethics Culture and Management.
Establish best practice and create awareness to an ethics culture in the organization
Inspect and oversee the ethics related issues in terms of King IV.
Collaborate with internal and external stakeholders in addressing ethics related issues.
Submit research and advice on best practices to detect and address unethicalbehavior.
Develop a process to monitor compliance with the complaints and ethicspolicies and procedures.
Present reports to management and board on allnon-compliance to code of ethics and ethics policy to relevant stakeholders.
PeopleManagement
Analyze the business plan to determine the applicabledeliverables and targets
Determine the human resource requirements, in accordancewith the expected deliverables and current capacity
Secure the human capitalrequirements to ensure that deliverables will be met in accordance with the expected targets
Compile the Performance Management documentation in collaboration with the staffmember in terms of:
Preferred Minimum Education and Experience
Degree in law, audit, risk management or similar.
Post graduatediploma in compliance management or CISA accredited Compliance Practioners.
Meetthe requirements of “fit and proper” as prescribed by the Compliance institute ofSouthern Africa.
Accreditation as a Compliance Practitioner with the ComplianceInstitute of SA
8 years’ experience in compliance management
Critical Competencies
Advanced Microsoft Office
Advanced knowledge of enterprise risk management principles
Knowledge /Experience of compliance systems / tools
Compliance Management Principles andProcesses
Knowledge of Compliance related legislation
Knowledgeand interpretation skills of all applicable legislation to the business of the Bank and ability tocommunicate on advanced level.
AdditionalRequirements
Extended hours as and when required.
Travel as and when required.
Act as second line of defense as required in theEnterprise Risk management framework and combined assurance model
