Main Purposeof the Job
To providespecialist advice and support to the Company Secretary, drive Corporate Governance and Complianceand act as a strategic adviser to the Organizations board and subcommittees on Corporate Governanceand Compliance, thereby ensuring the efficient operation of the Bank’s decision makingmechanisms and that the group follows the legal and regulatory requirements as it relates to thebusiness or industry.
Todevelop and maintain all policies related to the Board of Directorship in compliance to requiredlegislation and the adopted Good Corporate Governance Code and group’s Code ofEthics.
To develop and maintaina corporate governance compliance regulation framework for the group. To establish and implementprocesses that will assist to identify and monitor governance requirements in legislation,regulations, good practice governance code, contracts, strategies and company policies.
To assess the state of compliance, therisks, identify gaps and potential consequences of non-compliance vs. compliance and makerecommendations, initiate and prioritize any corrective actions deemed necessary. To createawareness and promote compliance regarding compliance and corporate governance through effectivecommunication and training.
Key PerformanceAreas               

Lead of Corporate Governance and Compliance

Advise the Company Secretary on the organizations Group approach to Corporate Governance andCompliance across the relevant Board and its Sub Committees Compliance (Board, Board Sub-Committees(EXCO, ALCO and Procurement Committee) to ensure compliance with the Bank’s




Founding statutes,

Delegation of authority framework,

Code of Ethics,

Declaration of Interest and

Othergovernance policies approved by the Board of Directors;




Lead thereview, update and ensure approval of the banks and LBIC charters for Board and Board SubCommittees, and ensure the safekeeping thereof

Lead the review, update and ensureapproval of bank and LBIC Delegation of Power for Board and Board Sub Committees, and ensure thesafekeeping thereof

Ensure that all policies related to Board Directorship arealigned with relevant legislation and good Corporate Governance practices

Ensurethat all policies are in place, reviewed and implemented to ensure compliance with Legislation andGood Corporate Governance.

Ensure compliance with all relevant Legislation, i.e.PFMA, the organizations Act, Short and Long-term insurance Act and the Companies Act.

Develop Governance and Compliance Regulation Framework and Processes

Developand implement and maintain governance compliance regulation framework.

Establishand implement processes to identify and monitor governance requirements in legislation, regulations,good practice governance code, contracts, strategies and company policies.

Assessthe state of compliance, assess the risks, and identify gaps and potential consequences ofnon-compliance vs. compliance

Assess if the Bank has appropriate Board /ManagementCommittees set up to ensure controls in line with best practice, regulatory and King III/IVrequirements.

Assess alignment of Committee responsibilities and mandates withorganizational objectives/strategies.

Monitor and direct performance management ofmanagement committees to ensure that activities are in line with the respective CommitteeCharters.

Identify training requirements for Committee members.

Make recommendations, initiate and prioritize any corrective actions deemed necessary.

Create awareness and promote compliance regarding compliance and corporate governancethrough training and effective communication.

Undertake the full range ofactivities including managing forward plans, setting deadlines, notifying and monitoring actionsarising and decisions from meetings within set time frames


Maintain StakeholderRelationships

Identify the relevant role players in accordance withbusiness requirements and dependencies

Consult and liaise with stakeholders toensure that governance processes are aligned with applicable legislation, Corporate Governance Codesrelevant and protocol on corporate governance

Liaise and provide guidance andassistance to Company Secretary and Committee Chairpersons as and when required.

Build and maintain relationships with Board Members, National Treasury, Parliament, executive andsenior management and other external stakeholders.

Influence the design andimplementation of the necessary information architecture to manage information in the CompanySecretariat Unit from a governance and compliance perspective


Preferred Minimum Education andExperience

Graduate degree in law

Admission to arecognized professional body will be advantageous

CIS qualification will beadvantageous

4-7 post qualification proven experience in the field of corporategovernance, law, public policy or administration or a relevant discipline such as enterprise riskmanagement and internal control, ethics management, accounting or audit;

Experience in the public sector or a regulated private sector environment preferred
