Job Advert Summary MainPurpose of the Job
Thepublic officer is a statutory appointment in terms of the Long-term and Short-term Insurance Actswith statutory duties and other functions. The appointment is subject to the approval of theFinancial Services Board who has the authority to terminate the appointment if it so wishes and upongood cause shown. The primary function of a Public Officer is to oversee and manage compliance withinsurance legislation. Manages the compliance function for LBLIC and LBIC.
Key PerformanceAreas
ManageLegal and Compliance for LBLIC and LBIC
Review and analyze currentlegislation and regulations to determine and confirm the areas of compliance
Conduct research into new/proposed legislation to determine the areas of compliance, possiblerisks to the company and the impact of the business
Influence new/amendedlegislation/regulations where required to ensure the best possible position for the Company
Consult the relevant role players to inform them of the Compliance Requirements andthe Impact on business
Submit the compliance documentation to the relevantgovernment entities for approval if required
Communicate and educate staff on thecompliance requirements with the relevant role players
Implement the compliancerequirements as determined to ensure that compliance is achieved
Monitor businessagainst the compliance requirements and take rectification actions where required
Compile the necessary reports reflecting the performance against the compliance requirements
Compliance in accordance with policies, procedures and legal requirements
Complete compliance actions within the allocated time frames
Reporting in respect of compliance, legislation, implementation oflegislation and issues of non-compliance
Sign and submit documentsprescribed by the Registrar, such as the statutory returns.
Sign and submit formsthat the insurer must use to apply for approvals, or notify the Registrar of certain matters, underthe Long-term and Short-term Insurance Acts.
Participate in and/or facilitatecommunication (oral, written and electronic) between the Registrar and the insurer.
Co-ordinate visits and requests for information by theRegistrar
Participate in meetings between the Registrar and the insurer.
Receive directives and other documents from the Registrar.
Manage compliancewith the Long-term and Short-term Insurance Acts
Appropriately and effectivelydeal with directives, circulars, letters, requests and other information from the Registrar.
Manage Compliance Risk
Establish an audit committee to review thecompany’s compliance, among others, with legal and regulatory provisions, its articles ofassociation, code of conduct, by-laws and the rules established by the board
Receive service of legal documents and / or processes in connection with any legal proceedingsinstituted against the company.
Certify as true and correct any special resolutionpassed in terms of section 37(1) and section 36(1) of the Long-Term Insurance Act and Short-TermInsurance Act respectively.
StatutoryRepresentative to FSB on Compliance and Legal Matters of LBIC & LBLIC
Coordination of FSB quarterly meetings;
Coordination of FSB onsite visits(ad-hoc);
Signing off the FSB life and short-term company’s quarterlyreturns
Signing off the FSB life and short-term company’s annualreturns;
Submission of the FAIS annual report to the FSB.
Timeous response to FSB correspondence and distribution to relevant
Legal advisory Services
Review deals andprovides legal advice from origination
Once deal is approved provides legal adviceregarding deals including structure, contracts (FSB regulations)
Reviews, draftsor vets contracts
Brief external council if external counsel is required
Conducts due diligence of deals
Management of litigation – briefattorneys, submission of documentation, affidavits, consultations with counsel

Analyze the business plan to determine the applicable deliverables and targets

Preferred Minimum Education andExperience
Legal Degree & Admitted Attorney
8 years’ experience as a compliance officer / legal advisor / public officer at asenior level environment
8 years’ experience with sound knowledge of ShortTerm Insurance Act, Long Term Insurance and Financial Advisory Services Act & FSBRegulations
3 years’ experience as a compliance officer / legal advisor /public officer at a senior level in the Short Term and / or Long Term Insurance environment.
